Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the basics.ai platform and all associated products operated by Sage7 AI Ltd (“basics.ai”, “we”, “our”, or “us”). By creating an account or using any basics.ai product, you agree to these Terms.

If you are accepting these Terms on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms, and “you” refers to that organisation.

1. Services

basics.ai provides a suite of business software products including sales outreach, electronic signatures, document intelligence, team messaging, and future applications (“Services”). We reserve the right to modify, suspend, or discontinue any Service at any time with reasonable notice.

New applications added to the platform are made available to customers on existing paid plans at no additional charge, subject to fair use limits. Starter (free) plan users may access new applications within Starter-tier limits.

2. Accounts and eligibility

• You must be at least 18 years old to create an account.
• You are responsible for maintaining the security of your account credentials and for all activity under your account.
• You must provide accurate and complete information during registration and keep it up to date.
• You may not create accounts on behalf of others without their authorisation, or share login credentials between multiple users (each user requires their own seat).
• We may suspend or terminate accounts that violate these Terms.

3. Acceptable use

You agree not to use basics.ai to:

• Send unsolicited commercial messages (spam) or violate any applicable anti-spam law, including CAN-SPAM, GDPR, and CASL.
• Upload, transmit, or distribute malware, viruses, or harmful code.
• Harvest or scrape data from the platform in ways that violate our rate limits or Terms.
• Attempt to gain unauthorised access to other accounts, systems, or networks.
• Use the Services to store or transmit illegal content, including content that infringes intellectual property rights.
• Impersonate any person or organisation, or misrepresent your identity or affiliation.
• Interfere with or disrupt the integrity or performance of the Services.
• Resell or sublicense access to the Services without our written consent.

We reserve the right to remove content and suspend or terminate accounts that violate this policy without prior notice.

4. Your content

You retain ownership of all content you upload to or create within basics.ai (“Your Content”), including lead data, documents, agreements, and messages.

By using the Services, you grant basics.ai a limited, non-exclusive licence to store, process, and display Your Content solely as necessary to provide the Services to you. We do not use Your Content to train AI models or share it with third parties except as described in our Privacy Policy.

You are responsible for ensuring that Your Content complies with applicable laws and these Terms, including data protection laws governing any personal data included in Your Content.

5. Electronic signatures

basics.ai eSign provides electronic signature functionality intended to comply with the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN), the UK Electronic Communications Act 2000, and the EU eIDAS Regulation (qualified electronic signature standards where indicated).

While we design eSign to support legally binding signatures in most jurisdictions, you are responsible for verifying that electronic signatures are legally effective for your specific use case and jurisdiction. basics.ai does not provide legal advice.

6. Subscription and billing

• Paid plans are billed monthly or annually in advance. All fees are non-refundable except as required by law.
• Annual plans are charged upfront for the full year. We do not provide partial refunds for unused months on annual plans.
• We may change pricing with 30 days’ written notice. Price changes take effect at your next renewal period.
• Failure to pay may result in suspension of your account. We will provide at least 7 days’ notice before suspension for non-payment.
• Disputes about charges must be raised within 60 days of the invoice date by contacting [email protected].

7. Intellectual property

The basics.ai platform, brand, and all associated technology, trademarks, logos, and content (excluding Your Content) are owned by Sage7 AI Ltd and protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable licence to access and use the Services for your internal business purposes in accordance with these Terms.

8. Confidentiality

Each party agrees to maintain the confidentiality of the other party’s non-public information and not to disclose it to third parties without prior written consent, except as required by law or necessary to provide the Services.

9. Disclaimer of warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BASICS.AI’S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES IS LIMITED TO THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL BASICS.AI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Indemnification

You agree to indemnify and hold harmless basics.ai and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Services, Your Content, or your violation of these Terms.

12. Termination

• You may cancel your account at any time from your billing settings. Cancellation takes effect at the end of the current billing period.
• We may terminate or suspend your access immediately if you breach these Terms.
• Upon termination, your right to access the Services ends. Your Content will be available for export for 30 days post-termination, after which it will be deleted.
• Provisions that should survive termination (including liability, indemnification, and intellectual property) will do so.

13. Governing law and disputes

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless mandatory local consumer law provisions in your jurisdiction require otherwise.

14. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance of the updated Terms. If you do not agree to the changes, you may cancel your account before they take effect.
